2008 Deals YTD

There were over fifty printing company transactions and eight supplier transactions in 2008. We've highlighted a few below.

SYRACUSE, NY—KinaneCo Printing Systems has acquired Finger Lakes Printing of Auburn, NY, according to the Auburn Citizen.
Finger Lakes, which laid off 20 employees as part of the deal, will continue operating in its present facility under the name FLP Group.

CINCINNATI—SpringDot has struck a deal to take over the commercial printing and specialty finishing divisions of fellow Queen City printer Steinhauser.
The two companies have competed with one another for more than 100 years, according to the Kentucky Post. Steinhauser will continue to operate its Packaging Print Solutions division.

LOMBARD, IL—12/01/08—The Mallard Press is proud and excited to announce the purchase of American Graphic Specialties, a long-time provider of specialty products and services.
In addition, key personnel from AGS will be joining the staff of Mallard Press.

About American Graphic Specialties: Serving Chicagoland for over 20 years, AGS specialized in engineering, and finishing customized products such as; presentation folders, point-of-purchase items, counter cards, folding cartons, laminated items and many types of packaged products.

Bowne Completes Acquisition of Capital Systems, Inc.
NEW YORK, NY, Jul 01, 2008 (MARKET WIRE via COMTEX News Network)

Bowne & Co., Inc. (NYSE: BNE), a leader in shareholder and marketing communications services, today announced it has completed the acquisition of the US-based assets and operating business of Capital Systems, Inc. ("Capital"), a leading provider of financial communications based in midtown Manhattan. Bowne acquired Capital for approximately $13 million. This transaction, which was originally announced on June 26, 2008, is expected to be accretive to the Company's 2008 results.

Bang Printing Obtains Delta Printing

BRAINERD—Book manufacturer Bang Printing has obtained Delta Printing Solutions of Valencia, CA. Terms of the deal were not disclosed. The combined company has 350 employees and will produce more than 15,000 titles annually. Bang anticipates reaping the benefits of plant load balancing, employee cross-training and increased purchasing power.

Delta Printing Solutions, which has serviced national customers for more than fifty years, is one of the largest providers of books, manuals, catalogs, journals and directories in the Western United States. Peter Schaefer, President of Compass Capital Partners, represented Delta Printing Solutions in the transaction.

Transcontinental Acquires Rastar

MONTREAL—Transcontinental Inc. announced the acquisition of Rastar, Inc., a U.S.-based direct marketing company that specializes in interactive database marketing and variable data digital printing, which enable fully personalized marketing communications. Rastar’s industry experience, combined with its digital printing expertise, will allow Transcontinental to further expand its integrated marketing services offering and enable its clients to achieve the best possible returns on their marketing campaigns.

Workflow Management, Inc. and Enterprise Acquisition Corp. Announce an All Stock Merger Valued at Approximately $670 Million

NEW YORK—Workflow Management, Inc., one of the nation’s leading providers of managed print and promotional product services, and Enterprise Acquisition Corp. today announced that WF Capital Holdings Inc., the parent of Workflow, and Enterprise have signed a definitive merger agreement for $669 million. In addition, Workflow also has signed agreement to acquire additional businesses in the marketing services and promotional products industry, which may be completed prior to the closing of the merger with Enterprise. The current management of Workflow will remain in place to run the combined company after the merger. Workflow’s initial and largest shareholder, Perseus LLC, will stay invested in a significant part in the transaction.
